Welcome to Dexo.chat. These Terms of Service ("Terms") govern your access to and use of the Dexo.chat platform, website, and services. By using our services, you agree to be bound by these Terms.

1. Definitions

• "Services" means the Dexo.chat platform, including all features, tools, and APIs
• "User," "you," or "your" refers to the individual or entity accessing our Services

2. Account Registration

4. Messaging Compliance

When using our messaging services, you must:

• Obtain proper consent before sending messages to End Users
• Comply with all applicable messaging regulations (TCPA, GDPR, CAN-SPAM, etc.)
• Honor opt-out requests promptly
• Follow channel-specific policies (WhatsApp Business Policy, Meta Platform Terms, etc.)
• Not send prohibited content as defined by channel providers

5. Payment Terms

Fees and Billing

• Fees are based on your selected subscription plan
• All fees are exclusive of taxes unless stated otherwise
• Subscription fees are billed in advance on a monthly or annual basis
• Usage-based fees (messages, API calls) are billed in arrears

Refunds

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will retain access until the end of your current billing period.

6. Intellectual Property

Our Intellectual Property

Dexo.chat and its features, functionality, content, and branding are owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Your Content

You retain ownership of your Content. By using our Services, you grant us a limited license to process, store, and transmit your Content as necessary to provide the Services.

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using our Services, you acknowledge that you have read and understood our Privacy Policy.

8. Service Level Agreement

For Enterprise customers, we provide:

• 99.9% uptime guarantee
• 24/7 priority support
• Service credits for downtime exceeding SLA thresholds

Details of our SLA are available in your Enterprise agreement.

9. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We are not responsible for the actions of third-party channel providers (WhatsApp, Meta, Telegram, etc.) or any changes to their services or policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEXO.CHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Dexo.chat and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of third parties
• Your Content

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with notice. You may terminate your account at any time through your account settings.

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive will remain in effect.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Dexo.chat
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our prior written consent
• Notices: We may provide notices via email or through the Services

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.
